HAVING REGARD to the Memorandum of Understanding
between the Organisation for Economic Co-operation and Development
and the Government of the Czech Republic concerning the programme
Partners in Transition signed in Prague on G October
1993,
HAVING REGARD to paragraph 25 of the Communiqué
adopted by the Council of the Organisation for Economic Co-operation
and Development meeting at a ministerial level on 8 June I994,
calling for negotiations with the Czech Republic concerning membership,
HAVING REGARD to Supplementary Protocol No.
2 to the Convention on the Organisation for Economic Co-operation
and Development, in particular its section (d),
HAVE AGREED as follows:
For the purposes of this Agreement:
(a) Government means the Government
of the Czech Republic;
(b) Organisation means the Organisation
for Economic Co-operation and Development;
(c) officials shall be the categories
of officials to which the provisions of this Agreement apply as
specified by the Secretary-General and submitted to the Council
of the Organisation. The names of the officials included in these
categories shall be made known, from time to time, to the Government;
(d) premises of the Organisation
means buildings or parts thereof, utilized, permanently or temporarily,
for official purposes of the Organisation;
(e) property of the Organisation
means all property, including funds and assets, belonging to the
Organisation or held or administered by the Organisation or on
its behalf;
(f) archives of the Organisation
means all records and correspondence, documents and other material,
including tapes and films, sound recordings, computer software
and written material, video tapes and discs, as well as discs
and tapes containing data, belonging to or held by the Organisation
or on its behalf;
(g) Members means countries or
other entities which are Members of the Organisation;
(h) non-member participants means
countries not members of the Organisation or international organisations,
which have received an invitation from the Organisation to participate,
as observers or an any other basis, in a meeting convened by the
Organisation;
(i) representatives means all delegates,
alternates, advisers, technical experts and secretaries of delegations:
(j) meeting convened by the Organisation
means any meeting of a body of the Organisation, and any other
meeting, international conference or other gathering convened
by the Organisation.
The Organisation possesses juridical personality.
It has the capacity to conclude contracts, to acquire and dispose
of movable and immovable property and to institute legal proceedings.
The Organisation and its property, wherever
located and by whomsoever held, shall enjoy immunity from every
form of legal process except insofar as its any particular case
it has expressly waived its immunity. It is, however, understood
that no waiver of immunity shall extend to any measure of execution..
The property of the Organisation, wherever
located and by whomsoever held, shall not be subject to search,
requisition, confiscation, expropriation or any other form of
interference whether by administrative, judicial or legislative
action
The premises of the Organisation shall be inviolable.
The archives of the Organisation, and in general
all documents belonging to it or held by it, shall be inviolable
wherever located.
Without being restriced by financial controls,
regulations or moratoria of any kind:
(a) the Organisation may hold currency of any
kind and operate accounts in any currency;
(b) the Organisation may freely transfer its
funds within, into and out of the territory of the Czech Republic
and convert any currency held by it into any other currency under
the same conditions as provided for any international organisation
or foreign government.
The Organisation and its property shall be
exempt from:
(a) any form of direct taxation. It is understood,
however, that the Organisation will not claim exemption from rates
and taxes which constitute no more than a payment for public utilities;
(b) customs duties, prohibitions or restrictions
in respect of import or export of goods intended for official
use, on the understanding that goods so imported will not be sold
in the Czech Republic, except under conditions agreed with the
Government;
(c) customs duties, restrictions or prohibitions
in respect of import and export of publications;
(d) any form of indirect taxation on goods
and services purchased for official purposes including taxes forming
part of the price to be paid for such goods and services, under
the same conditions as applied with respect to diplomatic missions
in the Czech Republic.
The Organisation shall enjoy, for its official
communications, treatment not less favourable than that accorded
by the Czech Republic to any government, including its diplomatic
mission, in the matter of priorities, rates and taxes on mails,
cables, telegrams, radiograms, telephotos, telefaxes, telephone
and other communications and press rates for information to the
press and radio. No censorship shall be applied to the official
correspondence and other official communications of the Organisation.
In order to enable the Organisation to fully
and efficiently discharge its responsibilities and fulfill its
tasks, essential public services shall be made available to the
organisation on the same basis and conditions as to diplomatic
missions in the Czech Republic.
l. Representatives of Members and non-member
participants accredited to the Organisation or to a meeting convened
by the Organisation shall, while exercising their functions and
during their journey to and from the place of meeting, enjoy the
privileges, immunities and facilities provided for by sections
II and 15 of Article IV of the Convention on the Privileges and
immunities of the United Nations of 13 February 1946.
2. In order to secure for representatives of
Members and non- member participants to the bodies of the Organisation
and to meetings convened by the Organisation complete freedom
of speech and independence in the discharge of their duties, the
immunity from legal process in respect of words spoken or written
and all acts done by them in discharging their duties shall continue
to be accorded, notwithstanding that the persons concerned are
no longer representatives.
3. Privileges, immunities and facilities are
accorded to the representatives of Members and non-member participants
not for the personal benefit of the individuals concerned but
in order to safeguard their functions in connection with the Organisation.
Consequently, a Member or a non-member participant has not only
the right but the duty to waive the immunity of its representative
in any case where, in the opinion of the Member or non-member
participant, the immunity would impede the course of justice,
and it can be waived without prejudice to the purpose for which
thc immunity is accorded.
Officials of the Organisation shall:
(a) enjoy immunity from arrest and detention
for acts performed in their official capacity;
(b) enjoy immunity from legal process for acts
performed in their official capacity; they shall continue to be
so immune after completion of their functions as officials of
the Organisation;
(c) be exempt from any form of direct taxation
on salaries, emoluments and indemnities paid to them by the Organisation;
(d) be exempt, together with their spouses
and members of their families, from immigration restrictions and
alien registration;
(e) enjoy, together with their spouses and
members of their families, the same benefits in respect of repatriation
in case of international crisis as members of diplomatic missions;
(f) have the right to import their furniture
and effects free of duty at the time of first taking up their
post in the Czech Republic;
(g) be accorded the same privileges in respect
of exchange facilities and of any obligation to deposit security
payable in respect of goods temporarily admitted into the Czech
Republic as are accorded to diplomatic agents of comparable rank;
(h) enjoy the right, for the purpose; of communicating
with the Organisation, to use codes and to send and receive correspondence
and other papers and documents by courier.
In addition to the privileges, immunities and
benefits mentioned in Article 12, the Secretary-General of the
Organisation, his/her spouse and children under the age of 18,
shall enjoy the privileges, immunities and benefits granted to
the heads of diplomatic missions.
The Deputy and Assistant Secretaries-General,
their spouses and children under the age of 18, shall enjoy the
privileges, immunities and benefit<s granted to diplomatic
representatives of comparable rank.
Experts (other than officials) performing missions
for the Organisation shall enjoy such privileges, immunities and
facilities as are necessary for the independent exercise of their
functions during the period of their missions, including time
spent on journeys in connection with their missions. In particular
they shall enjoy:
(a) immunity from personal arrest or detention
and from seizure of their personal baggage;
(b) immunity from legal process in respect
of words spoken or written, and all acts done by them in the performance
of their mission; such immunity shall continue after the completion
of their mission;
(c) inviolability for all papers and documents;
(d) the right, for the purpose of communicating
with the Organisation, to use codes and to send and receive correspondence
and other papers and documents by courier;
(e) the; same facilities with respect to currency
and exchange restrictions and to any obligation to deposit security
payable in respect of goods temporarily admitted into the Czech
Republic as are accorded to a representative of a foreign government
on temporary official mission.
Privileges, immunities and benefits are granted
to officials and experts in the interest of the Organisation and
not for the sake of personal profit. The Secretary-General of
the Organisation shall have the right and the duty to waive the
immunity of any official or expert where, in his opinion the immunity
of this official or expert would impede the course of justice
and where it can be waived without prejudice to the interests
of the Organisation. In the case of the Secretary-General and
the Deputy and Assistant Secretaries-General of the Organisation,
the Council of the Organisation shall have the right t0o waive
immunity.
The Government shall take all measures required
to facilitate entry into, staying, and exit from the Czech Republic,
as well as freedom of movement within its territory, of representatives
of Members and non-member participants, officials and experts
of the Organisation or any other person invited by the Organisation
for official purposes.
The Organisation shall co-operate at all times
with the authorities of the Czech Republic to facilitate the proper
administration of justice, secure the observance of police regulations
and prevent the occurrence of any abuse ill connection with the
privileges, immunities, exemptions and facilities mentioned in
this Agreement.
This Agreement shall be interpreted and applied
in the light of its primary purpose which is to enable the Organisation
to fully and efficiently discharge its responsibilities and fulfill
its tasks.
l. The Contracting Pal-ties shall attempt to
settle any dispute as to the interpretation or application of
this Agreement by negotiations. Negotiations shall be deemed to
have been exhausted if the Contracting Parties fail to reach a
settlement within a period of sixty days from the request by either
party to enter into negotiations. If the dispute is not settled
through negotiations, it shall, at the request of either party,
be referred to arbitration.
2. The arbitral tribunal shall be composed
of three arbitrators: one to be chosen by the Czech Republic,
one to be chosen by the Organisation, and the third, who shall
be the chairman of the tribunal, to be chosen jointly by the Contracting
Parties. If the tribunal is not constituted within three months
of the request for arbitration, the appointment of the arbitrators
not yet designated shall be made by the president of the International
Court of Justice at the request of either party. The tribunal
shall apply the principles and rules of international law and
its award shall be final and binding on both parties.
This Agreement shall enter into force on the
date on which the Government shall have informed the Organisation
of the completion of the constitutional requirements for its entry
into force.
This Agreement shall be applied on a provisional
basis to the extent it is compatible with the laws of the Czech
Republic as from the date of its signature, and pending its entry
into force.
The Contracting Parties may enter into such
supplementary agreements as nay be necessary within the scope
of this Agreement.
DONE in Paris this 22"J day of February,
1995, in two originals, each in the English and French languages,

VU le Mémorandum d'accord entre l'Organisation
de Coopération et de Développement Economiques et
le gouvernement de la République tchèque concernant
le programme Partenaires pour la transition signé
à Prague te 6 octobre 1993,
VU le paragraphe 25 du Communiqué adopté
par le Conseil de l'Organisation de Coopération et de Développement
Economiques lors de sa réunion tenue au niveau ministériel
le 8 juin I 994 l'invitant à engager des négociations
avec la République tchèque en vue de son adhésion,
VU le Protocole Additionnel N° 2 à
la Convention relative à l'Organisation de Coopération
et de Développement Economiques, et en particulier son
alinéa (d),
SONT CONVENUS de ce qui suit:
Aux fins du présent Accord:
(a) le terme gouvernement désigne
le gouvernement de la République tchèque;
(b) le terme Organisation désigne
l'Organisation d Cooperation t de Développement Economiques;
(c) le terme fonctionnaires désigne
les catégories de fonctionnaires auxquelles s appliquent
les dispositions du présent Accord telles duelles sont
déterminées par le Secrétaire général
et soumises au Conseil de l'Organisation. Les noms des fonctionnaires
compris dans ces catégories seront communiqués périodiquement
au gouvernement;
(d) l'expression locaux de l'Organisation
désigne les bâtiments ou parties de bâtiments
utilisés à des fins officielles, titre permanent
ou temporaire, par l'Organisation;
(e) l'expression biens de l'Organisation
désigne tous les biens, y compris les fonds et avoirs,
appartenant à l'Organisation ou détenus ou gérés
par elle ou pour son compte;
(f) l'expression archives de l'Organisation
désigne tous les dossiers, courriers, documents et autres
matériaux, y compris les bandes magnétiques et les
films, les enregistrements sonores, les logiciels informatiques
et les documents écrits, les bandes et disques vidéos,
ainsi que les disques et les bandes magnétiques contenant
des données appartenant à l'Organisation, ou détenus
par elle ou pour son compte;
(g) le terme Membres désigne
les pays ou autres entités qui sont Membres de l'Organisation;
(h) l'expression participants non membres
désigne les pays non membres de l'Organisation ou les organisations
internationales qui ont reçu de l'Organisation une invitation
à participer, en qualité d'observateur ou a tout
autre titre, à une réunion organisée par
l'Organisation;
(i) le terme représentants
désigne les délégués, délégués
suppléants conseillers, experts techniques et secrétaires
de délégations;
(j) l'expression réunion organisée
par l'Organisation désigne toute réunion d'un
organe de l'Organisation ainsi que toute autre réunion,
conférence internationale ou colloque organisés
par l'Organisation.
L'Organisation possède la personnalité
juridique, Elle a la capacité de contracter, d'acquérir
et aliéner des biens mobiliers et immobiliers et d'ester
en justice.
L'Organisation et ses biens, ou qu'ils se trouvent
et quel que soit leur détenteur, jouissent de l'immunité
de juridiction, sauf dans la mesure ou l'Organisation y a expressément
renoncé dans un cas particulier. Il est toutefois entendu
que la renonciation ne peut s'étendre à des mesures
d'exécution.
Les biens de l'Organisation, ou qu'ils se trouvent
et quel que soit leur détenteur. sont exempts de perquisition,
réquisition, confiscation, expropriation ou de toute autre
forme de contrainte administrative, judiciaire ou législative.
Les locaux de l'Organisation sont inviolables.
Les archives de l'Organisation et, de manière
générale, tous les documents lui appartenant ou
détenus par elle, sont inviolables ou qu'ils se trouvent.
Sans être astreinte à aucun contrôle,
réglementation ou moratoire: financiers:
(a) l'Organisation peut détenir des
devises quelconques et avoir des comptes en n'importe quelle monnaie;
(b) l'Organisation peut transférer librement
ses fonds à l'intérieur du territoire de la République
tchèque ainsi que vers ou depuis celui-ci et convertir
toutes devises détenues par elle en toute autre monnaie
dans les mêmes conditions que celles qui sont accordées
à toute organisation internationale ou tout gouvernement
étranger.
L'Organisation et ses biens sont exemptés:
(a) de toute forme d'impôt direct; toutefois
l'Organisation ne demandera pas l'exonération de droits
et de taxes qui ne constituent que la simple rémunération
de services d'utilité publique;
(b) de tous droits de douane, prohibitions
ou restrictions d'importation ou d'exportation en ce qui concerne
les biens importés ou exportés pour son usage officiel.
Il est entendu que les biens ainsi importés en franchise
ne seront pas vendus sur le territoire de la République
tchèque, à moins que ce ne soit à des conditions
agréées par le gouvernement;
(c) de tous droits de douane et de toutes restrictions
ou prohibitions d'importation ou d'exportation à l'égard
de ses publications;
(d) de toute forme de fiscalité indirecte
sur les belles et les services acquis des fins officielles, y
compris les taxes entrant dans le prix de ces biens et services,
dans les mêmes conditions que celles qui sont appliques
aux missions diplomatiques en République tchèque.
L'Organisation bénéficiera, pour
ses communications officielles, d'un traitement au moins aussi
favorable que le traitement accordé par la République
tchèque à tout gouvernement, y compris sa mission
diplomatique, en ce qui concerne les priorités, les tarifs
et taxes sur le courrier, les câblogrammes, télégrammes,
radiotélégrammes, téléphotos télécopies,
communications téléphoniques et autres, ainsi que
sur les tarifs de presse pour Ies informations à la presse
et à la radio. La correspondance officielle et les autres
communications officielles de l'Organisation ne pourront être
censurées.
Afin de permettre à l'Organisation de
s'acquitter entièrement et efficacement de ses responsabilités
et de ses taches, les services publics indispensables seront mis
à la disposition de l'Organisation sur les mêmes
bases et dans les mêmes conditions que pour les missions
diplomatiques en République tchèque.
l. Les représentants des Membres et
des participants non membres accrédités auprès
de l'Organisation ou participant à une réunion organisée
par celle-ci jouissent, durant l'exercice de leurs fonctions sur
le territoire de la République tchèque et au cours
des voyages h destination ou en provenance du lieu de la réunion,
des privilèges, immunités et facilités prévus
par les sections 11 et 15 de Article IV de la Convention sur les
privilèges et immunités des Nations Unies du 13
février 1946.
2. Afin de garantir aux représentants
des Membres et des participants non membres aux organes de l'Organisation
et aux réunions organisées par celle-ci, une complete
liberté d'expression et une complète indépendance
dans l'exercice de leurs fonctions, l'immunité de juridiction
relative à leurs discours ou leurs écrits et à
tous les actes accomplis dans l'exercice de leurs fonctions continuera
à leur être accordée, même après
que ces personnes ont cessé d'être représentants.
3, Les privilèges, immunités
et facilités sont accordés aux représentants
des Membres et des participants non membres, non à leur
avantage personnel, mais pour leur permettre de s'acquitter de
leurs fonctions en rapport avec l'Organisation. Par conséquent,
un Membre ou un participant non membre a non seulement le droit,
mais le devoir, de lever l'immunité de son représentant
dans tous les cas où, de l'avis du Membre ou du participant
non membre, l'immunité empecherait que justice soit faite
et où elle peut etre levée sans
porter atteinte aux fins pour lesquelles caLte immunité
a été accordée.
Les fonctionnaires de l'Organisation:
(a) jouissent de 1 immunité d'arrestation
et de détention pour les actes accomplis par eux en leur
qualité officielle;
(b) jouissent de l'immunité de juridiction
pour Ies actes accomplis par eux en leur qualité officielle;
ils continueront à bénéficier de cette immunité
après la cessation de leurs fonctions;
(c) sont exonérés de tout type
d'impôt direct sur les salaires, émoluments et indemnités
versés par l'Organisation;
(d) ne sont pas soumis, non plus que leur conjoint
et les membres de leur famille, aux dispositions limitant l'immigration
et aux formalités d'enregistrement des étrangers;
(e) jouissent, ainsi que leur conjoint et les
membres de leur famille, des mêmes facilités de rapatriement
que les membres des missions diplomatiques en période de
crise internationale;
(f) ont le droit d'importer en franchise leur
mobilier et leurs effets à l'occasion de leur première
prise de fonctions en République tchèque;
(g) jouissent, en ce qui concerne Ies facilités
de change et toute obligation de dépôt de garantie
pour les marchandises admises temporairement en République
tchèque, des mêmes privilèges que les agents
diplomatiques de rang comparable;
(h) bénéficient du droit, pour
les communications avec Organisation, d'utiliser des codes et
d'envoyer et de recevoir de la correspondance ainsi que des papiers
et des documents par courrier.
Outre les privilèges, immunités
et avantages mentionnés à l'article 12, Ie Secrétaire
général de l'Organisation, son conjoint et ses enfants
âgés de moins de 18 ans, jouissent des privilèges,
immunités et avantages accordés aux chefs de missions
diplomatiques.
Les Secrétaires généraux
adjoints et suppléants, leurs conjoints et leurs enfants
âgés de moins de 18 ans, jouissent des privilèges,
immunités et avantages accordés aux agents diplomatiques
de rang comparable.
Les experts (autres que les fonctionnaires)
en mission pour l'Organisation jouissent pendant la durée
de cette mission, y compris Ie temps des voyages liés à
la mission, des privilèges, immunités et facilités
nécessaires pour qu'ils puissent exercer leurs fonctions
en toute indépendance, notamment:
(a) de l'immunité d'arrestation personnelle
ou de détention et de saisie de leurs bagages personnels;
(b) de l'immunité de juridiction pour
leurs discours ou écrits et pour tous les actes accomplis
par eux au cours de leur mission; ils continueront de cette immunité
après la fin de leur mission;
(c) de l'inviolabilité de tous papiers
et documents;
(d) du droit, pour communiquer avec l'Organisation,
d'utiliser des codes et d'envoyer et de recevoir de la correspondance
ainsi que d'autres papiers et documents par courrier;
(e) des mêmes facilités, en matière
de change et de devises et de toute obligation de dépôt
de garantie au titre de biens admis temporairement en République
tchèque, que celles qui sont accordées aux représentants
de gouvernements étrangers en mission officielle temporaire.
Les privilèges, immunités et
facilités sont accordés aux fonctionnaires et aux
experts dans l'intérêt de l'Organisation et non à
Leur avantage personnel. Le Secrétaire général
de l'Organisation pourra et devra lever l'immunité accordée
a un fonctionnaire ou à un expert dans tous les
cas où, a son avis cette immunité
empêcherait que justice soit faite et ou elle pourrait être
levée sans porter préjudice aux intérêts
de 1Organisation. A l'égard du Secrétaire général
et des secrétaires général adjoints et suppléants
de l'Organisation, le Conseil de l'Organisation a qualité
pour prononcer la levée des immunités.
Le gouvernement prend toutes mesures nécessaires pour faciliter
entrée, le séjour et la liberté de
circulation en République tcheque, ainsi
que la sortie de son territoire, des représentants des
Membres et des participants non membres, des fonctionnaires et
experts de l'Organisation ou de toute autre personne invitée
par l'Organisation dans un but officiel.
L'Organisation collaborera en tous temps avec
les autorités de la République tchèque pour
faciliter la bonne administration de la justice, assurer le respect
des réglementations de police et éviter tout abus
auquel pourraient donner lieu les privilèges, immunités,
exemptions et facilités mentionnés dans le présent
Accord.
Le présent Accord sera interprété
et appliqué à la lumière de son objectif
premier qui est de permettre à tOrganisation de s'acquitter
entièrement et efficacement de ses responsabilités
et de ses taches.
1. Les Parties contractantes s'efforcent de
régler tout différend concernant l'interprétation
ou l'application du présent Accord par voie de négociation.
Les négociations sont réputées avoir été
épuisées si les Parties contractantes ne parviennent
pas à trouver un règlement dans un délai
de soixante jours à compter de la date à laquelle
lune ou l'autre des parties demande l'ouverture de négociations.
Si le différend n'est pas réglé par voie
de négociations, il est soumis à arbitrage à
la demande de lune ou l'autre partie.
2. Le tribunal arbitral est composé
de trois arbitres: un arbitre choisi par la République
tchèque, un arbitre choisi par l'Organisation et le troisième,
qui sera le président du tribunal, choisi conjointement
par les Parties contractantes. Si le tribunal n'est pas constitué
dans un délai de trois mois à compter de la demande
d'arbitrage, les arbitres non encore désignés sont
nommés par le président de la Cour internationale
de justice, à la demande de lune ou l'autre partie. Le
tribunal applique les principes et règles du droit international;
la sentence est définitive et obligatoire pour les deux
parties.
Le présent Accord entre en vigueur la
date à laquelle le gouvernement aura informé l'Organisation
de l'accomplissement des formalités constitutionnelles
nécessaires à son entrée en vigueur.
Le présent Accord s'applique à
titre provisoire dans la mesure ou il est compatible avec les
lois de la République tchèque, des la date de sa
signature, et en attendant son entre en vigueur.
Les Parties contractantes peuvent conclure
tous accords additionnels qui peuvent être nécessaires
dans Ie cadre du présent Accord.
FAIT à Paris le 22 février 1995,
en deux originaux, chacun en anglais et en franc ais, les deux
versions faisant également foi.
